Terms and Conditions

Effective Date: January 1, 2024

1. Services

Orbix Technologies LLC provides website design, website development, redesign, maintenance, e-commerce development, landing pages, technical support, and related digital services.

The exact services, pricing, features, revisions, timeline, and deliverables will be based on the package, quotation, invoice, proposal, or written agreement accepted by the client.

2. Payments

Clients must make payments according to the agreed payment schedule.

Orbix Technologies LLC may require full payment, an initial deposit, milestone payments, or recurring payments before starting or continuing work.

Additional pages, features, revisions, urgent work, integrations, or services outside the original project scope may require additional charges.

Work may be paused when payments are overdue.

3. Project Delivery

Delivery times depend on the project size, complexity, required features, revisions, and availability of client materials.

Estimated timelines are not guaranteed unless a fixed completion date has been confirmed in writing.

Delays caused by missing content, late feedback, unpaid invoices, third-party services, hosting issues, or changes requested by the client may extend the delivery date.

4. Client Responsibilities

The client must provide accurate and timely information, including:

  • Business details
  • Website content
  • Images and branding materials
  • Product or service information
  • Domain and hosting access
  • Login details
  • Feedback and approvals

The client is responsible for ensuring that all supplied content, images, trademarks, names, and materials are legally authorized for use.

5. Revisions and Changes

Revisions are limited to the number included in the selected package or agreement.

Revisions must remain within the original project scope.

Major redesigns, additional pages, new features, platform changes, or requests made after approval may require additional payment and delivery time.

6. Third-Party Services

Website projects may use third-party services such as hosting providers, domain registrars, themes, plugins, APIs, payment gateways, stock images, fonts, and software tools.

The client is responsible for third-party costs, subscriptions, renewals, and licences unless otherwise agreed.

Orbix Technologies LLC is not responsible for third-party downtime, pricing changes, security incidents, account suspensions, or discontinued services.

7. Ownership

Ownership of the final approved website and agreed deliverables transfers to the client only after full payment has been received.

Unused concepts, rejected designs, templates, reusable code, working files, development methods, and internal tools remain the property of Orbix Technologies LLC unless otherwise agreed in writing.

Third-party materials remain subject to their original licences.

Orbix Technologies LLC may display completed work in its portfolio unless the client requests confidentiality in writing.

8. Confidentiality and Account Access

Both parties agree to protect confidential information shared during the project.

Clients may be required to provide temporary access to hosting accounts, domains, websites, payment platforms, or other systems.

Orbix Technologies LLC will use this access only for project-related purposes.

Clients should change temporary passwords after the project has been completed.

9. Cancellation and Refunds

Either party may cancel a project by providing written notice.

The client remains responsible for payment for work completed and expenses incurred before cancellation.

Deposits, project-starting fees, third-party purchases, completed work, and approved deliverables may be non-refundable.

Refund requests will be handled according to the Refund Policy of Orbix Technologies LLC.

10. Limitation of Liability

Orbix Technologies LLC does not guarantee specific website traffic, sales, revenue, search rankings, leads, or business results.

The company will not be responsible for indirect, financial, incidental, or business losses caused by website use, hosting failures, cyberattacks, third-party services, domain expiration, client actions, or circumstances outside its reasonable control.

Where permitted by law, total liability will be limited to the amount paid for the specific service connected to the claim.

11. Governing Law and Contact

These Terms and Conditions will be governed by the laws of the state in which Orbix Technologies LLC is registered.

Any legal dispute will be handled by the appropriate courts in that state, unless otherwise agreed in writing.
